Terms of Service

1. Who we are

Weft is provided by SJM Network Consulting Ltd, a company registered in England and Wales (company number 17131723), registered office 71–75 Shelton Street, Covent Garden, London WC2H 9JQ (“we”, “us”). These terms are between us and the organisation that creates a Weft account (“you”). The person who accepts them confirms they are authorised to do so for that organisation.

2. The service

Weft is a hosted control plane and software agents that connect your sites and devices into a private network (“the Service”). You provide and are responsible for the hardware and internet connections at your sites. The control plane holds your network’s configuration; your traffic passes directly between your own sites and devices and does not pass through our systems.

3. Free trial

A new account starts with a free trial of 30 days, limited to 3 sites and 10 roaming clients, with every feature. No payment details are needed. We may extend a trial once on request. When a trial ends there is a 14-day grace period; after that the console becomes read-only until a paid plan starts. Ending a trial never stops your network forwarding traffic: every site and client keeps running on its last configuration. If no paid plan starts within 60 days of the console becoming read-only, and after we have emailed you, we may close the account and delete its data.

4. Fees

Paid plans are charged per site and per roaming client, monthly or annually, at the prices shown on our pricing page when you subscribe, excluding VAT. Fees are payable in advance and are not refundable except where the law requires. We will give you at least 30 days’ notice of any price change, which takes effect at your next renewal. If a payment fails we will tell you, and the same grace period and read-only rules as in section 3 apply; we will never stop your network forwarding traffic to collect a payment.

5. Your data

You own your data: your network configuration, the names and addresses of your sites and devices, and the measurements your sites report. You give us permission to process it only to provide, secure and support the Service. We act as your data processor for personal data within it, and our Privacy Notice explains what we process and how. Private keys for your sites and devices are generated on those machines and never sent to us.

6. Your responsibilities

  • Keep your sign-in credentials and invitations secure, and tell us promptly at support@weftnetworks.com if you believe they have been misused.
  • Use the Service lawfully, and only on networks and devices you are authorised to manage.
  • Do not use the Service to attack, probe or disrupt any system; to send spam; to infringe anyone’s rights; or to try to access another customer’s data or our systems beyond what the Service offers you.
  • Do not resell the Service without a partner agreement with us.

We may suspend access to the console for a breach of this section, and will tell you why. Where we can do so without risk to others, we will not stop your network forwarding traffic.

7. Availability and support

We work to keep the Service available and secure, but we do not guarantee it will be uninterrupted or error-free, and no service level applies unless agreed in writing. Because every site keeps its own configuration, an outage of our control plane stops you making changes but does not stop your network forwarding traffic. 8. Changes to the Service and these terms

We improve the Service continually and may change or withdraw features. We will give you at least 30 days’ notice of a change to these terms that materially affects you. Continuing to use the Service after a change takes effect means you accept it.

9. Ending the service

You may close your account at any time by contacting us. We may end the Service for you on 30 days’ notice, or immediately for a serious breach of these terms. When an account closes we delete its data within 60 days, except where the law requires us to keep it. Your sites keep their last configuration until you change or remove them.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Otherwise, neither party is liable for loss of profit, revenue, business or data, or for any indirect or consequential loss, and each party’s total liability under these terms in any 12-month period is limited to the fees you paid us in that period. During a free trial the Service is provided as it is, and our total liability is limited to £100.

11. General

These terms are the whole agreement between us about the Service. If any part is found unenforceable, the rest continues. Neither party is liable for delay caused by events beyond its reasonable control. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
